Confidential Disclosure Agreement (CDA), also commonly known as a Non Disclosure Agreement (NDA)
This agreement is the buyer’s legally binding assurance to IBA and our clients that they, and their professional advisors, will not make public the fact a business is for sale without written permission from IBA and the business owner. This agreement requires a party’s signature, printed name, mailing address, telephone number, and email. No specific information will be released by IBA about the companies we represent for sale without a potential buyer completing a Non Disclosure Agreement.

Acquisition Criteria Profile
This buyer database document defines the criteria a buyer will use in their business purchase decision process. Common elements of the criterion include industry, geographic location, desired cash flow to ownership, and the amount of funds available to inject into a transaction prior to seeking financing or investment.

Personal Financial Statement or Alternative Information Verifying the Ability to Negotiate in “Good Faith”
Entrepreneurs expect IBA to financially qualify potential buyers. Only parties demonstrating the ability to negotiate in “good faith” and complete a transaction will be provided specific information about a business represented for sale.

Step Two: Complete & Sign Documents
IBA uses DocuSign to facilitate Buyer Database Sign Up
It is necessary to Download Documents prior to Completing the Documents. This step was established to allow for IBA to be contacted with questions about the use of the information, if desired, prior to submission.
Provision of this documentation to IBA by a buyer will register them into our Buyer Database Program and result in the participant receiving information from IBA on our exclusive listings that match their acquisition criteria as they enter the market prior to their public advertisement. This preferred buyer status is not a requirement to receive information on companies represented by IBA, since anyone can contact our office and complete a confidentiality agreement and the financial qualification process to receive information on a specific business. However, participation in this program has, historically, proved very beneficial to buyers seeking businesses in high demand industries or geographic locations where the life span of a business on the market can be a matter of weeks.
Periodically an entrepreneur will contact IBA that is interested in owning or starting a business in a specific geographic location. Finding a business to purchase in a specific geographic location can be problematic, especially when industry and profit potential are taken into consideration. To address the market demand for geographic specific acquisition opportunities for entrepreneurs and enhance IBA’s menu of business opportunity offerings, IBA added new franchise sales to its services in 2018.
